2. How these Terms apply
These Terms apply to use of our website and to products or services supplied under them.
Professional engagements may also be governed by a quotation, proposal, statement of work, engagement letter, retainer agreement, service agreement or other written contract.
Where a separately agreed written agreement conflicts with these general Terms, the specific agreement will take priority for that engagement.
3. Our services
Our services may include HR and outsourced HR support, employer setup, employment documentation, employee-relations support, recruitment support, right-to-work compliance support, sponsor compliance support, business setup, business advisory, operational support, training, consultations, audits and reviews, digital resources and other agreed business services.
The exact scope of substantial professional work will be confirmed separately.
4. Website information
Information published on our website, in articles, free resources, social-media content or general guidance is provided for general informational purposes.
Employment, immigration, company, tax, regulatory and other requirements can change.
General content should not automatically be treated as advice tailored to your circumstances.
5. Professional boundaries
Essensia provides practical HR, employer compliance, sponsor compliance and business support.
Unless expressly agreed and lawfully provided by an appropriately authorised professional, Essensia does not provide reserved legal services, legal representation, regulated financial advice or regulated immigration advice to individuals.
Employer-side sponsor compliance and right-to-work support should not be interpreted as representation or regulated immigration advice relating to an individual’s immigration application.
Where specialist legal, tax, accounting, financial or regulated immigration advice is required, you may need support from an appropriately qualified professional.
6. Your responsibilities
You are responsible for providing complete, accurate and timely information required for us to perform an agreed service.
You remain responsible for final management and business decisions and for legal or regulatory obligations that remain the responsibility of your organisation.
You must ensure that you are entitled to provide any personal information or documents you supply to us concerning another person.
7. Consultations
Consultations may be booked through the website or an approved booking platform.
The price, length and purpose of the consultation will be displayed when booking or agreed separately.
Any specific cancellation or rescheduling conditions displayed at checkout form part of the booking.
Where consumer cancellation rights apply, nothing in these Terms removes those rights.
8. Professional service fees
Fees will be confirmed through the relevant quotation, proposal, booking page, invoice or service agreement.
Some engagements may require payment in advance, a deposit or an agreed retainer before work begins.
Government fees, application fees, registration charges, external professional fees and other third-party costs are not included unless expressly stated.
9. Consumer cancellation rights for services
If you purchase a service as a consumer at a distance, statutory cancellation rights may apply.
Where applicable, there will normally be a 14-day cancellation period.
If you ask us to begin providing the service during that period, we may require an express request to begin early.
If you subsequently cancel after performance has begun, applicable law may allow us to charge a proportionate amount for services properly supplied up to that point.
Where a service is fully performed during the cancellation period following the appropriate request and acknowledgement, the right to cancel may end once performance has been completed.
10. Digital products
Essensia may sell digital products including guides, ebooks, templates, spreadsheets, trackers, checklists, toolkits and document packs.
Products will normally be delivered electronically following purchase.
Digital products and free resources may be delivered through third-party ecommerce or digital-delivery providers integrated into the Essensia website. Where a resource is obtained through such a provider, that provider’s own terms may apply to the checkout and delivery part of the transaction where applicable.
Product descriptions will explain what is included.
11. Immediate digital downloads
Where a consumer purchases digital content for immediate supply, we will require the customer, before supply begins, to expressly:
- agree to receive the digital content immediately; and
- acknowledge that they will lose the applicable 14-day cancellation right once supply begins.
Where the required consent and acknowledgement have not been obtained, applicable statutory cancellation rights remain.
This does not affect rights relating to faulty or misdescribed digital content.
12. Refunds and faulty digital content
We do not operate a blanket “no refunds” policy that overrides statutory rights.
Where validly supplied digital content has begun downloading following the required consent and acknowledgement, a change-of-mind cancellation right may no longer apply.
However, consumer rights continue to apply where digital content is faulty, not as described or otherwise fails to meet legal requirements.
UK consumer law provides remedies for faulty digital content, including repair or replacement and, in appropriate circumstances, a price reduction.
13. Free resources
Free resources are provided for general information and practical guidance.
Unless expressly stated otherwise, they remain subject to Essensia’s intellectual-property rights and the licence terms below.
Downloading a free resource does not create an entitlement to personalised professional advice or ongoing support.
14. Licence to use digital resources
Unless expressly stated otherwise, purchasing or downloading an Essensia resource gives you a limited, non-exclusive, non-transferable licence to use it for your own personal purposes or within your own organisation.
You may adapt editable templates for genuine internal use.
You may not, without written permission:
- resell or redistribute our products;
- upload paid resources to public websites or marketplaces;
- share paid materials with unrelated organisations;
- remove our branding and present the original material as your own;
- reproduce our material primarily to create competing products for resale; or
- otherwise commercially exploit our intellectual property.
15. Intellectual property
Unless otherwise stated, intellectual property in the Essensia website, branding, written content, digital products, templates, training materials and original resources belongs to Essensia Solutions Ltd or is lawfully licensed to us.
No intellectual-property ownership transfers to you merely because you purchase or download a resource.
16. Client materials
You retain ownership of materials and intellectual property you provide to Essensia.
You give us permission to use those materials to the extent reasonably necessary to perform the agreed work.
17. Confidentiality
We take reasonable steps to protect confidential information received in connection with professional engagements.
Information may be disclosed where authorised by you, reasonably required by an approved service provider involved in the engagement, required by law or regulator, or already lawfully in the public domain.
Specific engagements may include additional confidentiality provisions.
18. Third-party decisions
Some services involve government bodies, regulators, financial institutions, software providers or other third parties whose decisions we do not control.
Essensia cannot guarantee outcomes including sponsor-licence approvals, regulatory decisions, registrations, recruitment outcomes, funding, revenue, profitability or other outcomes controlled by third parties.
19. Compliance reviews
Any compliance review, health check or audit is based on the scope agreed and the information, documents and processes made available to us at the time.
It does not constitute certification, regulator approval or a guarantee that every possible issue has been identified.
It does not guarantee that an organisation will pass a future regulatory inspection or compliance visit.
The employer remains responsible for its ongoing compliance and for implementing appropriate recommendations.
20. Templates and resources
Templates and toolkits are practical starting points and may require adaptation to your business and circumstances.
They are not a substitute for obtaining specialist advice where circumstances are complex, disputed or high risk.
21. Website availability
We do not guarantee that the website will always be uninterrupted or error-free.
We may update, suspend or change parts of the website when reasonably necessary.
22. Consumer rights
Where you are a consumer, nothing in these Terms excludes or limits rights that cannot lawfully be excluded.
Services supplied to consumers remain subject to applicable statutory standards and remedies.
23. Business clients
Where you contract with Essensia wholly or mainly for business purposes, the relevant service agreement may contain additional provisions covering termination, payment, liability, confidentiality and the agreed scope.
Unless prohibited by law, Essensia will not be responsible for losses arising from matters outside the agreed scope or losses that were not reasonably foreseeable when the relevant agreement was entered into.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
24. Privacy
Personal information is handled in accordance with our Privacy Policy and applicable data-protection law.
Where Essensia acts as a processor for a client, additional data-processing terms may apply.
25. Complaints
If you are dissatisfied with an Essensia service or product, contact:
info@essensiasolutions.com
Please provide sufficient information for us to identify the relevant transaction, service or concern.
Data-protection complaints are dealt with in accordance with the complaints procedure described in our Privacy Policy.
26. External links and platforms
Our website may contain links to third-party websites and services.
We do not control those providers’ content, availability, terms or privacy practices.
27. Changes to these Terms
We may update these Terms to reflect changes to our services, systems or applicable law.
The terms governing a completed transaction or existing professional engagement will normally be those applicable when the relevant agreement was entered into, unless a lawful change is agreed or required.
28. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
29. Governing law
These Terms are governed by the laws of England and Wales.
If you are a consumer, this does not remove mandatory protections that apply to you because of where you live.
For business-to-business engagements, the courts of England and Wales will have jurisdiction unless a separate agreement provides otherwise.
